These Terms and Conditions (“Terms”) establish the legal framework governing your relationship with the NorthKey Auto website and associated services (the “Service”) operated by NorthKey Auto (“us”, “we”, or “our”).

Please carefully review these Terms before utilizing the Service.

Your ability to access and utilize the Service depends on your acceptance of and adherence to these Terms. These Terms are applicable to all visitors, users and other individuals who access or utilize the Service.

By accessing or utilizing the Service you consent to be bound by these Terms and acknowledge all legal ramifications. If you do not consent to these Terms, in whole or in part, please refrain from using the Service.

Nature of the Service

NorthKey Auto operates as a complimentary lead matching and referral platform. NorthKey Auto does not operate as a lender, financial institution, credit union, or vehicle dealership. We do not render credit decisions, approve or reject financing requests, or provide credit in any capacity. Our function is confined to gathering the details you provide through our application workflow and facilitating connections with independent, certified dealer partners (“Dealer Partners”) who may be positioned to support you with vehicle financing needs. All financing determinations, credit evaluations, and loan conditions are established exclusively by Dealer Partners and their associated lending institutions.

Information Sharing with Dealer Partners

By completing your application through the Service, you acknowledge and consent that the personal details you submit — including but not limited to your full name, contact details, employment history, income data, and residential address — will be transmitted to one or more Dealer Partners for the purpose of assessing your vehicle financing possibilities. You recognize that once your details are transmitted to a Dealer Partner, that Dealer Partner’s independent privacy policy and terms will control their management of your information.

Credit Reports and Credit Checks

NorthKey Auto does not retrieve, access, or examine your credit report at any point in our workflow. However, by completing your application and selecting “Continue” on our pre-approval interface, you grant authorization to our Dealer Partners and their associated lending institutions to retrieve consumer credit reports and conduct credit checks as part of their independent evaluation of your financing request. These credit inquiries are executed exclusively by the Dealer Partners and their lending institutions, not by NorthKey Auto. You acknowledge that such credit inquiries may impact your credit score. Should you have inquiries about a particular credit inquiry, you should reach out to the Dealer Partner or lending institution directly.

Conversation Recording

By utilizing the Service, you provide consent to NorthKey Auto and its affiliated organizations to record telephone conversations, text message communications, and other interactions between you and our personnel for quality control, training, dispute resolution, and regulatory compliance purposes. If you prefer not to have your communications recorded, please notify us at the start of any telephone call or reach out to us at [email protected] to explore alternative options.

Electronic Communications and SMS Consent

By supplying your phone number and completing your application, you explicitly consent to receive communications from NorthKey Auto and our Dealer Partners via telephone, text message (SMS/MMS), and email concerning your application, financing alternatives, and associated services. You also consent to receive periodic marketing communications from NorthKey Auto. Standard message and data rates may apply. Message frequency is variable.

You may withdraw from marketing text messages at any time by responding STOP to any message or by reaching out to us at [email protected]. Withdrawing from marketing messages will not impact transactional messages associated with your active application. This consent is not a prerequisite for purchasing any goods or services.

No Guarantee of Approval

Completing an application through NorthKey Auto does not ensure approval for vehicle financing, particular interest rates, loan conditions, or any specific result. Pre-approval messaging on our Service is provided for informational purposes and signifies only that you may be eligible for additional review by a Dealer Partner. Final financing terms, if granted, are established exclusively by the Dealer Partner and their lending institutions based on their independent underwriting standards.

Intellectual Property

The Service and all content, including but not limited to text, images, graphics or code are the property of NorthKey Auto and are safeguarded by copyright, trademarks, database and other intellectual property protections. You may view and copy, download or print segments of the material from the various areas of the Service exclusively for your own non-commercial purposes. Any other utilization is strictly forbidden and may breach copyright, trademark and other regulations. These Terms do not confer upon you a license to utilize any trademark of NorthKey Auto or its affiliates. You further consent not to utilize, modify or remove any proprietary notices from materials downloaded from the Service.

Links to Other Websites

The Service may include links to third-party websites or services that are not owned or managed by NorthKey Auto.

NorthKey Auto has no authority over, and accepts no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further recognize and consent that NorthKey Auto shall not be responsible or liable, directly or indirectly, for any harm or loss caused or claimed to be caused by or in connection with utilization of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly recommend you review the terms and conditions and privacy policies of any third-party websites or services that you access.

Privacy

Your utilization of the Service is also subject to our Privacy Policy, which outlines how we collect, utilize, disclose, and safeguard your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and relevant provincial privacy legislation. By utilizing the Service, you confirm that you have reviewed and comprehended our Privacy Policy.

Termination

We may terminate or suspend access to our Service immediately, without advance notice or liability, for any reason whatsoever, including, without limitation, if you violate the Terms.

All provisions of the Terms shall remain in effect following termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Upon termination, your authorization to utilize the Service will immediately cease.

Indemnification

You consent to indemnify, defend and hold harmless NorthKey Auto, its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers and agents, from and against any claims, losses, damages, obligations, costs, actions or demands.

These encompass but are not restricted to: (a) legal and accounting fees arising from your utilization of the Service; (b) your violation of any of these Terms; and (c) anything you post on or upload to the Service.

Limitation of Liability

NorthKey Auto, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any loss or damage, direct or indirect, incidental, special, consequential or punitive damages, including without limitation, economic loss, loss or damage to electronic media or data, goodwill, or other intangible losses, resulting from (i) your access to or utilization of the Service; (ii) your inability to access or utilize the Service; (iii) any conduct or content of any third party on or related to the Service, including the actions or determinations of any Dealer Partner or lending institution; (iv) any content obtained from or through the Service; and (v) the unauthorized access to, utilization of or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other claim in law, whether or not we have been notified of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer and Non-Waiver of Rights

NorthKey Auto provides no guarantees, representations or warranties of any nature as concerns the website and associated technology. Any purportedly applicable warranties, terms and conditions are excluded, to the maximum extent permitted by law. Your utilization of the Service is at your exclusive risk. The Service is delivered on an “AS IS” and “AS AVAILABLE” basis. The Service is delivered without warranties of any nature, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance, except as mandated under the laws of any province in Canada. In such instances, the provincial law shall apply to the extent required.

NorthKey Auto, its subsidiaries, affiliates, and its licensors do not warrant that (a) the Service will operate uninterrupted, secure or available at any specific time or location; (b) any errors or defects will be rectified; (c) the Service is free of viruses or other detrimental components; or (d) the outcomes of utilizing the Service will satisfy your requirements.

If you violate any of these Terms and NorthKey Auto elects not to immediately act, or elects not to act at all, NorthKey Auto will still be entitled to all rights and remedies at any subsequent date, or in any other circumstance, where you violate these Terms. NorthKey Auto does not relinquish any of its rights. NorthKey Auto shall not be responsible for any purported violation of these Terms caused by circumstances beyond its control. An individual who is not a party to these Terms shall have no enforcement rights.

You may not assign, sub-license or otherwise transfer any of your rights under these Terms.

Exclusions

As outlined above, some jurisdictions do not permit the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not be applicable to you. Provincial laws of Canada may be applicable to certain products and services delivered.

Dispute Resolution

Any dispute emerging from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction in the Province of Alberta.

Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be adjusted to the minimum extent necessary to render it valid and enforceable, or if it cannot be adjusted, it shall be removed from these Terms. The remaining provisions shall remain in full force and effect.

Governing Law

These Terms shall be governed by, and interpreted and enforced in accordance with, the laws in the Province of Alberta and the laws of Canada, as applicable. You consent to submit to the exclusive jurisdiction of the courts located in the Province of Alberta for the resolution of any disputes.

Changes

We reserve the right, at our exclusive discretion, to modify or replace these Terms at any time. If a revision is substantial we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms becoming effective. What constitutes a substantial change will be determined at our exclusive discretion.

By continuing to access or utilize our Service after those revisions become effective, you consent to be bound by the revised terms. If you do not consent to the new terms, in whole or in part, please discontinue using the website and the Service.
